Legal Terms Agreement
Soulfy provides complete web hosting, domain, and website systems to clients worldwide, and we have a responsibility to protect each client and provide the best service available. All Soulfy clients are subject to the following terms of service:
Access Restrictions
Users agree that for the stability of the Soulfy system, access to your Cpanel is not provided, unless it involves an urgent matter and a situation related to saving lives. Soulfy may grant access if the user creates (or emails) and sends an explanation to Soulfy as to why such access is needed, explained thoroughly. Granting Cpanel access is at the discretion of Soulfy (PT. Tarombo Industries). By ordering our product online or by phone, we assume that the customer has read, understood, and agreed to these terms and conditions. The Soulfy source code is not a public script; it can only be accessed by its users, not through Cpanel, as it is part of the Soulfy Edtech platform. Users are free to access Cpanel if they upgrade to Soulfy Plus or develop their own website, and therefore no longer use the Soulfy system.
Indemnification Policy
Users agree to use the Soulfy features and services at their own risk and are fully responsible in the event of any issues. Soulfy specifically disclaims all warranties of merchantability and fitness for a particular purpose. Under no circumstances shall Soulfy be liable for any loss, or data loss, or other commercial damages, including but not limited to special, incidental, consequential, or other damages.
The customer agrees to defend, indemnify, and hold Soulfy, its agents, customers, officers, and employees harmless from any and all claims, liabilities, losses, costs, and demands, including reasonable attorney’s fees, that may arise from any services provided or performed or agreed to be performed, or any product sold by the customer, their agents, employees, or assigns. The customer agrees to defend, indemnify, and hold Soulfy harmless against any liability arising from any injury to persons or property caused by products sold or distributed in connection with Soulfy’s server.
Soulfy reserves the right to intervene in any sites hosted on its servers in the best interests of its customers. Any material provided by the customer that infringes or is alleged to infringe on the proprietary rights of a third party constitutes copyright infringement of any defective product sold to the customer from Soulfy’s server. Soulfy shall be the sole judge of what violates this policy.
Billing
We currently bill annually, according to the chosen package type. Rates are according to our latest policy, for the standard annual rate for Soulfy web, Domain and Hosting only, Domain only, and Hosting only. (Domain Name registration and hosting fees are non-refundable).
We accept wire transfers, cash, and PayPal payments only.
Late Payments
All accounts are billed according to the date they were first activated. If you do not pay to renew the service within 5 days after deactivation, your account will be suspended. If you do not pay to renew the service within 30 days after deactivation, your account will be terminated. You will receive an email reminder 5 days before deactivation.
Acceptable Use Policy
All services by Soulfy may only be used for lawful purposes. The transmission, storage, or presentation of any information, data, or material in violation of United States Federal, State, or City law is prohibited. This includes, but is not limited to: copyrighted material, material deemed threatening or obscene, or material protected by trade secrets and other statutes. The customer agrees to indemnify and hold harmless Soulfy and its employees from any claims arising from the use of the services that harms the customer or any other party. Our acceptable use policy is actively and strictly enforced. Offensive content or users are suspended from our network, usually as soon as they are discovered, although we will always inform you when and why such action has been taken. Pornography is prohibited on all Soulfy servers. This includes sites that contain sexually explicit or hardcore images and/or advertising.
The customer acknowledges that the provided service is of such a nature that it may be interrupted for reasons other than the company’s negligence, and damages resulting from any service interruption are difficult to ascertain. Therefore, the customer agrees that the company shall not be liable for any damages arising from causes beyond the direct and exclusive control of the company.
The customer further acknowledges that the company’s liability for its own negligence shall not exceed an amount equal to the charges payable by the customer for services during the period in which the damage occurred. Under no circumstances shall the company be liable for any special or consequential damages, losses, or injuries.
Illegality in any form, including but not limited to unauthorized distribution or copying of copyrighted software or other data, harassment, fraud, and trafficking of obscene material, is prohibited. Certain content is not allowed on our network. We do not host adult content of any kind. Content related to Hacking, Cracking, Warez, and IRC is not allowed. Software, audio, and video downloads may only be hosted if you are the author and copyright owner of the resources or if you have the right to distribute the material. Accounts suspended for content or AUP violations are not refunded under any circumstances.
Limits of Liability
Soulfy is not responsible for claimed losses, including incidental and consequential damages, that may arise from Soulfy’s servers being offline or unavailable for any reason. Furthermore, Soulfy is not responsible for claimed losses, including incidental or consequential damages resulting from the corruption or deletion of any website from one of Soulfy’s servers. All damages shall be limited to the immediate termination of service.
Disclaimer
Soulfy cannot be held responsible for system downtime, crashes, or data loss. We cannot be held responsible for estimated profits the client might have if their site was functioning. Some services provided by Soulfy are resold. Thus, certain equipment, routing, software, and programming used by Soulfy are not owned or written directly by Soulfy. Additionally, Soulfy is not responsible for the use of our clients’ accounts. If any terms or conditions are not followed, the account in question will be automatically deactivated. We reserve the right to remove any account without prior notice for any reason without restitution as Soulfy sees fit. FURTHERMORE, Soulfy reserves the right to change any or all of the above policies, guidelines, and disclaimers without notice.
